AppMachine + Ustream App Contest
Official Rules

  1. ELIGIBILITY: The AppMachine+Ustream App Contest (“Contest”) is open only to legal residents of the United States who are at least eighteen (18) years of age or older and who attend the AppMachine + Ustream Webinar on August 28, 2014, 10 AM PT (free of charge). Employees of Ustream Inc. and AppMachine, and any of their parent and affiliate companies or participating vendors as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable national, federal, state, territorial, and local laws, and it is void where prohibited.
  2. SPONSOR: Ustream Inc., 140 Townsend Street, Suite 400, San Francisco, CA 94107 (“Sponsor”).
  3. AGREEMENT TO THESE OFFICIAL RULES: Participation in this Contest constitutes entrant’s full and unconditional agreement to these Official Rules and the judges’ decisions, which are final. Winning a prize is contingent upon fulfilling all requirements set forth herein.
  4. SUBMISSION TIMING: The Contest begins at 6:00 a.m. Pacific Daylight Saving Time (“PDT”) on August 28, 2014, ends on September 30, 2014 at 11:59 p.m. PDT (the “Submission Period”). Upon the close of the Submission Period, a winner will be selected based on the criteria set forth below by qualified judges. The judges shall notify the potential winner on October 31, 2014.
  5. HOW TO ENTER: Submit entries by signing up for a free AppMachine account at and signing up for a Ustream free account at and then creating your AppMachine App using Ustream. You must attend the Ustream + AppMachine webinar being held on August 28, 2014 at 10 am pt. By submitting and uploading your Submission, you agree and understand that it conforms to the Guidelines and Content Restrictions as defined below. Sponsor may disqualify any person from the Contest if it believes that the entrant’s Submission fails to conform to the Guidelines and Restrictions provided below. Limit: Entrant may only submit one (1) Submission during the Submission Period.
  6. CONTENT GUIDELINES & RESTRICTIONS FOR SUBMISSION: All content that is submitted in this Contest should be consistent with the Guidelines and Restrictions stated below.
    1. The Submission cannot have been submitted previously in a promotion of any kind.
    2. The Submission must be the entrant’s own work;
    3. The Submission must not contain material that violates or infringes another’s rights, including without limitation, intellectual property rights infringement, privacy, or publicity;
    4. The Submissions must not disparage Sponsor or any other person or party affiliated with the Contest;
    5. The Submission must not contain any Sponsor or third party logos or trademarks;
    6. Submission must not contain any viruses, worms, spy ware, or other components or instructions that are malicious, deceptive, or designed to limit or harm the functionality of a computer;
    7. The Submission must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;
    8. The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
    9. The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any country where content is created.
    10. The Submission must be created in AppMachine and use Ustream within the mobile application.
  7. RIGHTS GRANTED TO SPONSOR: By uploading a Submission entrant grants Sponsor a royalty-free, irrevocable, perpetual (or for the duration of the copyright or a shorter period of time, if required by applicable law) non-exclusive license (but not the obligation) with the right to sublicense, use, reproduce, modify, adapt, publish, publicly perform, create derivative works from, transmit via the internet , and publicly display such Submissions in whole or in part. This grant is void where prohibited, and if requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission. Unless prohibited under applicable law, entrant waives his or her right to be mentioned as the author in relation to his or her Submission.
  8. PRIVACY: Information collected from entrants in connection with this Contest will be for the sole purpose of carrying out the Contest and is subject to Sponsor’s Privacy Policy.
  9. DETERMINATION OF POTENTIAL WINNERS: After the close of the Submission Period, a panel of qualified judges selected by the Sponsor will evaluate the Submissions in accordance with the judging criteria set forth below. The judges will select up to twenty (20) Submissions as potential winners based on an evaluation against the following criteria, provided that to be a winner an entrant’s Submission must receive a minimum score of 50:
    1. Creativity and Originality of the product idea (up to 35 points);
    2. Design has mass appeal (up to 35 points);
    3. Visionary (up to 20 points); and
    4. Solves real-business problems (up to 10 points).
  10. WINNER NOTIFICATION & REQUIREMENTS: The potential winners will be notified on or around October 31, 2014, at the email address supplied at the time of Contest registration. The potential winners will be required to agree, sign, and submit documents confirming eligibility and acceptance of the prize, agreement to release the Sponsor and other parties listed in the Release section below. The winners may be required to complete and sign the required documents and return them to Administrator within fifteen (15) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner fails to execute and return the prize acceptance documentation within the required time period or does not comply with these Official Rules, the potential winner forfeits the prize. If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up, if any, in Sponsor’s sole discretion.
  11. PRIZES: Up to twenty (20) Prizes Offered: A Logitech Broadcaster Webcam. Approximate retail value: $199. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Allow thirty (30) days from date of final notification that winner’s status has been finally confirmed for shipment of prize.
  12. RELEASE: To the extent permitted by law, by receipt of any prize, the winner agrees to release and hold harmless the Sponsor, AppMachine, the judges, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.
  13. PUBLICITY: To the extent permitted by law, winner agrees that Sponsor or its designees may use winner's name, city, state, likeness, Submission, and prize information in connection with the Contest for promotional, advertising or other purposes worldwide, in any and all media now known or hereafter devised, including without limitation, the Internet, without limitation and without further payment, notification, permission or other consideration.
    1. To the extent permitted under applicable law, Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. If the Contest is terminated, Sponsor may, in its sole discretion, determine the winner from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
    2. To the extent permitted, Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including without limitation, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize (including any travel/activity related thereto); (7) any claims that the entrant's Submission violates or infringes the intellectual property rights of a third party; (8) any claims by an entrant that it's Submission is similar to or competitive with technologies or products independently developed by Promoter or received by Promoter from third parties, including from other entrants. Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission.
  15. WINNERS LIST: For the name of the winner, visit after December 1, 2014. List will be available for thirty (30) days after posting.
