MOBILE SOFTWARE LICENSE AGREEMENT
PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING THE USTREAM.TV MOBILE SOFTWARE OR ANY ACCOMPANYING DOCUMENTATION (COLLECTIVELY, THE "SOFTWARE"). THIS MOBILE SOFTWARE LICENSE AGREEMENT ("AGREEMENT") IS INCORPORATED BY REFERENCE INTO THE USTREAM.TV TERMS OF SERVICE AGREEMENT ("USTREAM.TV TOS"). THIS AGREEMENT AND THE USTREAM.TV TOS ESTABLISH THE TERMS AND CONDITIONS UNDER WHICH Ustream, Inc. ("USTREAM.TV") WILL PERMIT YOU TO USE THE SOFTWARE AND THE USTREAM.TV SERVICES AS FURTHER DESCRIBED IN THE USTREAM.TV TOS (THE "SERVICES"). UNLESS OTHERWISE DEFINED IN THIS AGREEMENT, TERMS USED IN THIS AGREEMENT HAVE THE SAME MEANING AS IN THE USTREAM.TV TOS.
USTREAM.TV IS WILLING TO LICENSE THE SOFTWARE TO YOU ONLY UPON THE CONDITIONS THAT YOU ACCEPT ALL THE TERMS CONTAINED IN THIS AGREEMENT AND YOU ARE A USTREAM.TV MEMBER. BY CLICKING ON THE "I ACCEPT" BUTTON BELOW OR BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE, YOU HAVE INDICATED THAT YOU UNDERSTAND THIS AGREEMENT AND ACCEPT ALL OF ITS TERMS. IF YOU DO NOT ACCEPT ALL THE TERMS OF THIS AGREEMENT, THEN USTREAM.TV IS UNWILLING TO LICENSE THE SOFTWARE TO YOU. IF YOU AGREE TO THESE TERMS ON BEHALF OF A BUSINESS, YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND THAT BUSINESS TO THIS AGREEMENT, AND YOUR AGREEMENT TO THESE TERMS WILL BE TREATED AS THE AGREEMENT OF THE BUSINESS. IN THAT EVENT, "YOU" AND "YOUR" REFER HEREIN TO THAT BUSINESS.
1. Grant of License. Subject to your compliance with the terms and conditions of this Agreement, Ustream.tv grants you a non-exclusive and non-transferable license for a single user to install and use an executable form of the Software on a single mobile phone, device or PDA owned, leased or otherwise controlled by you (your "Mobile Device") solely for the purposes of accessing and using the Services.
You acknowledge that Ustream.tv may choose to issue upgraded versions of the Software and may elect to do so automatically and electronically. You hereby agree and consent to such automatic upgrades and acknowledge that the terms and conditions of this Agreement will apply to any and all such upgrades.
2. Restrictions. Except as expressly specified in this Agreement, you may not: (a) copy or modify the Software; (b) transfer, sublicense, lease, lend, rent or otherwise distribute the Software to any third party; (c) make the functionality of the Software available to multiple users through any means, including, without limitation, by uploading the Software to a network or file-sharing service or through any hosting, application services provider, service bureau or any other type of services; or (d) use the Software in any way inconsistent with terms and conditions set forth in the Ustream.tv TOS. You acknowledge and agree that portions of the Software, including, without limitation, the source code and the specific design and structure of individual modules or programs, constitute or contain trade secrets of Ustream.tv and its licensors. Accordingly, you agree not to disassemble, decompile or otherwise reverse engineer the Software, in whole or in part, or permit or authorize a third-party to do so, except to the extent such activities are expressly permitted by law notwithstanding this prohibition.
You hereby represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) that you are not listed on any U.S. Government list of prohibited or restricted parties.
3. Ownership. The Software is licensed, not sold. You own the media on which the Software is recorded, but Ustream.tv retains ownership of the Software, including all intellectual property rights therein. The Software is protected by United States copyright law and international treaties. You will not delete or in any manner alter the copyright, trademark, and other proprietary rights notices or markings appearing on the Software as delivered to you. In the event of a third-party claim alleging that the Software infringes a third-party's intellectual property rights, Ustream.tv will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
4. Telecommunications and Internet Services. You acknowledge and agree that your use of the Software and the Services are dependent upon access to telecommunications and Internet services. You are solely responsible for acquiring and maintaining all telecommunications and Internet services and other hardware and software required to access and use the Software and the Services, including, without limitation, any and all costs, fees, expenses and taxes of any kind related to the foregoing. You are solely responsible for and will indemnify and hold Ustream.tv harmless against any and all fees, charges and costs (including telecommunication carrier fees) related to use of the Software and Ustream.tv has no liability or responsibility whatsoever for any such fees, charges or costs.
5. Term. This Agreement remains effective until terminated. You may terminate it at any time by destroying all copies of the Software in your possession or control. This Agreement will automatically terminate without notice if you breach any term of this Agreement. Upon termination, you must promptly destroy all copies of the Software in your possession or control.
6. Representations and Warranties. You agree to comply with all applicable laws, rules and regulations when using the Software.
7. No Warranty. The Software is provided "AS IS", without warranty of any kind. You hereby acknowledge that with respect to the Software, Ustream.tv has no obligation to provide maintenance or support services of any kind for the Software.
8. DISCLAIMER. USTREAM.TV EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND ANY WARRANTIES AND CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM USTREAM.TV OR ELSEWHERE WILL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THIS AGREEMENT.
9. Limitation of Liability. USTREAM.TV'S TOTAL LIABILITY TO YOU FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY WILL BE LIMITED TO AND WILL NOT EXCEED TWENTY-FIVE ($25) U.S. DOLLARS. IN NO EVENT WILL USTREAM.TV BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS, PROFITS OR DAMAGE TO YOUR MOBILE DEVICE AND/OR OTHER MOBILE DEVICE APPLICATIONS) OR FOR THE COST OF PROCURING SUBSTITUTE PRODUCTS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR PERFORMANCE OF THE SOFTWARE, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT USTREAM.TV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. THE FOREGOING LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
10. Indemnity. You agree to defend, indemnify and hold Ustream.tv and its officers, directors, and employees harmless from and against any loss, liability, costs or expenses (including but not limited to reasonable attorneys' fees) arising from or incurred as a result of any third party claims, to the extent that such claims relate to or are based on your breach of this Agreement or your use of the Software.
11. Government Users. The Software and its accompanying documentation are "commercial computer software" and "commercial computer software documentation", respectively, as such terms are used in FAR 12.212. Any use, duplication or disclosure of the Software or the accompanying documentation by or on behalf of the U.S. Government is subject to restrictions as set forth in this Agreement. Manufacturer is Ustream, Inc.
12. Export Law. You agree to comply fully with all U.S. export laws and regulations to ensure that neither the Software nor any technical data related thereto nor any direct product thereof are exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations.
13. General. This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to or application of conflicts of law rules or principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply. You may not assign or transfer this Agreement or any rights granted hereunder, by operation of law or otherwise, without Ustream.tvss prior written consent, and any attempt by you to do so, without such consent, will be void and of no effect. Except as expressly set forth in this Agreement, the exercise by either party of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise. Any notice or other communications to be given under this Agreement will be in writing and given (a) by Ustream.tv via email or text message (in each case to the address or phone number that you provide), (b) posting on the Ustream.tv website located at http://www.ustream.tv/ or (c) by you via email to mobile@Ustream.tv or such addresses Ustream.tv may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted. The failure by either party to enforce any provision of this Agreement will not constitute a waiver of future enforcement of that or any other provision. Any waiver, modification or amendment of any provision of this Agreement will be effective only if in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible and the other provisions will remain in full force and effect. This Agreement is the complete and exclusive understanding and agreement between the parties regarding its subject matter, and supersedes all proposals, understandings or communications between the parties, oral or written, regarding its subject matter, unless you and Ustream.tv have executed a separate agreement.
